Terms of Service
Last updated: [insert effective date]
These Terms of Service ("Terms") govern your access to and use of Plannative — the website, and any related apps or services we offer (together, the "Service"). Plannative is operated by [insert company legal name], a company registered in England and Wales under company number [insert company number], with its registered office at [insert registered address] ("Plannative", "we", "us", or "our"). By creating an account, browsing vendor listings, or otherwise using the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.
1. Who these Terms apply to
Plannative is a marketplace and directory that connects people planning weddings and events ("Customers") with independent wedding and event businesses ("Vendors"). These Terms apply to everyone who uses the Service, whether you're a Customer, a Vendor, or just browsing without an account.
Where a section applies only to Customers or only to Vendors, it says so. Everything else applies to both.
2. Eligibility and accounts
You must be at least 18 years old to create an account. If you're registering a business as a Vendor, you confirm that you're authorised to act on that business's behalf and to agree to these Terms for it.
You're responsible for the accuracy of the information on your account, and for keeping your login credentials — including any passkey you register — secure. Tell us immediately if you believe your account has been accessed without your permission. We're not liable for losses caused by someone else using your account with credentials you failed to keep secure.
You may only create one account per person, except where a business account reasonably has multiple authorised users.
3. What Plannative is — and isn't
Plannative is a platform for discovery and introduction. We help Customers find Vendors, and help Vendors reach Customers looking for what they offer. We are not a party to, and do not broker, arrange, guarantee, or insure, any booking, contract, or payment made between a Customer and a Vendor.
Any agreement to provide services — a photography package, a catering booking, a DJ set, or anything else — is made directly between the Customer and the Vendor, on whatever terms they agree between themselves, entirely outside the Service. Plannative currently has no role in processing payments, holding deposits, or enforcing bookings, and takes no commission or fee on any booking made as a result of using the Service.
"Verified" on a Vendor's profile means that Vendor passed the checks described in Section 5 at the time they were reviewed — it is not a guarantee of quality, reliability, availability, or that the Vendor will perform any booking to your satisfaction. Do your own due diligence before you commit to booking with any Vendor.
4. Vendor listings
If you list a business on Plannative, you confirm that the information in your listing — business name, description, categories, service area, pricing, photos, credentials such as insurance or VAT registration — is accurate, current, and that you have the rights to any content you upload (see Section 9).
You agree to respond to Customer inquiries sent through the Service in good faith and in a reasonable time, to honour the terms you advertise (pricing, availability, services offered) unless you clearly communicate a change to the Customer, and to keep your listing up to date — including removing it, or marking yourself unavailable, if you stop trading or can't take new bookings.
We may review, decline to verify, suspend, or remove a listing at our discretion — including where information can't be verified, appears false or misleading, or where we receive credible reports of misconduct.
5. Verification
Before a Vendor's profile is marked "Verified" and made visible in search, we carry out a review of the information the Vendor has submitted. The exact checks may change over time, but at minimum we review that the business appears genuine and that the submitted details are internally consistent.
Verification is a point-in-time check based on information the Vendor provided to us. We don't independently audit a Vendor's ongoing insurance status, financial standing, or the quality of their work, and we don't continuously re-verify listings unless something prompts a review.
6. Inquiries and communication
Customers can send Vendors an inquiry describing what they're planning. Messages sent through the Service should relate to genuine wedding or event planning — not advertising unrelated products or services, not harassment, and not an attempt to solicit a Vendor's contact details purely to avoid using the Service (we'd rather you use the Service, but we understand conversations naturally move off-platform once you're actually working together).
We don't monitor inquiry content as a matter of course, but we may review messages reported to us for abuse, or as required by law.
7. Acceptable use
You agree not to: use the Service for anything unlawful or fraudulent; impersonate another person or business, or misrepresent your affiliation with one; post false, misleading, or defamatory content; scrape, crawl, or systematically extract data from the Service other than through features we provide for that purpose; attempt to circumvent our verification process; upload content that infringes someone else's intellectual property or privacy; upload malicious code; or interfere with the Service's normal operation, including its security features.
We may suspend or terminate your account, and remove any content, if we reasonably believe you've breached this section.
8. Fees
Using Plannative as a Customer is free. Creating a Vendor listing is currently free, including under any time-limited founding-vendor offer we advertise from time to time — the specific terms of any such offer (how many months, how many spots) are as stated where the offer is presented.
If we ever introduce fees for Vendor listings or other paid features, we'll give existing users reasonable advance notice before those fees apply to them, and continuing to use the relevant feature after that notice takes effect means you accept the new fees.
9. Content and intellectual property
You keep ownership of the content you upload — photos, descriptions, messages, and anything else. By uploading it, you grant Plannative a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display that content for the purpose of operating and promoting the Service (for example, showing your portfolio photos on your public listing). You confirm you have the right to grant us that licence for everything you upload.
Everything else on the Service — the Plannative name, logo, design, and underlying software — is owned by us or our licensors and is protected by intellectual property law. You may not copy, modify, or create derivative works from it without our permission.
If you believe content on the Service infringes your intellectual property rights, contact us at legal@plannative.co.uk with enough detail for us to locate and assess it.
10. Disclaimers
The Service is provided "as is" and "as available". We don't guarantee that it will be uninterrupted, secure, or error-free, that any Vendor listed will be suitable, available, or reliable, or that any particular result (like finding or booking a Vendor) will follow from using it.
To the fullest extent the law allows, we exclude all warranties, express or implied, in connection with the Service, other than any that can't legally be excluded.
11. Limitation of liability
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that can't legally be limited or excluded.
Subject to that, to the fullest extent the law allows: we are not liable for any dispute, loss, or damage arising between a Customer and a Vendor, including from a booking that falls through, poor-quality work, a missed deadline, or a payment dispute — that relationship and any contract within it is between the Customer and the Vendor, not us; and our total liability to you for any claim arising from your use of the Service is limited to £100 or the amount (if any) you've paid us in the 12 months before the claim arose, whichever is greater.
We are not liable for any indirect or consequential loss, including loss of profits, business, or opportunity, even if we were told such loss was possible.
12. Indemnity
You agree to indemnify us against any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or content you upload — except to the extent it was caused by our own breach of these Terms or negligence.
13. Suspending or ending your account
You can stop using the Service and delete your account at any time from your account settings, or by contacting us.
We may suspend or terminate your access if you breach these Terms, if we reasonably suspect fraud or misuse, or if we're required to by law. Where practical, we'll tell you why.
14. Changes to these Terms
We may update these Terms from time to time — for example, if the Service changes, or the law requires it. If a change is material, we'll take reasonable steps to let existing users know (such as an email or an in-app notice) before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
15. Governing law
These Terms are governed by the law of England and Wales, and any dispute relating to them or the Service is subject to the exclusive jurisdiction of the courts of England and Wales. If you're a consumer resident elsewhere in the UK, you may also be able to bring proceedings in your local courts.
